Governing agreements between Gardoon Ltd and corporate clients
1. Scope of Application
These General Terms and Conditions govern all software engineering, SaaS architecture consulting, cloud automation, and digital development services provided by Gardoon Ltd (Registration No. HE 496773, Republic of Cyprus) to business clients (B2B).
2. Deliverables & Intellectual Property (IP)
Upon complete settlement of agreed project fees, all bespoke source code, proprietary custom assets, and database architectures specifically developed for the client are transferred unconditionally and irrevocably to the client. Gardoon Ltd retains ownership of internal reusable framework libraries and tools.
3. Warranty & SLA Performance
Gardoon Ltd warrants that delivered software platforms meet all agreed specifications in the statement of work. Extended ongoing maintenance and Level-3 SLAs are governed by dedicated Service Level Agreements.
4. Applicable Law & Jurisdiction
These terms and all contractual agreements between Gardoon Ltd and its clients are governed by the laws of the Republic of Cyprus and applicable European Union commercial regulations. Place of jurisdiction is Larnaca, Cyprus.
